INSTRUCTIONS

GEORGIA INSTITUTE OF TECHNOLOGY will receive bids at the address shown on Page 1 of this Request For Quote until the date and time set for the bid opening.
Bid responses containing provisions for late or interest charges will not be considered for an award. Bidders are instructed to remove or strike through any reference to this provision in or on vendor printed forms and to initial changes prior to submitting a bid response to GEORGIA INSTITUTE OF TECHNOLOGY.
All bid responses received will be F.O.B. destination. Vendor may, however, charge back freight and insurance. In such event, Vendor shall state the exact amount of freight and insurance charges or a shall not exceed amount. Bid responses containing a minimum order/ship quantity or dollar value, unless otherwise called for in the Request For Quote, will be treated as non-responsive and will not be considered for award. Bidder shall place the following information on the outside, lower left corner of the envelope containing the bid. Failure to include such information may delay opening of the bid past the designated time. In such cases, the bid may not be considered for award.

The information above can be found on the cover of this Request For Quote. Only one sealed bid maybe sent in an envelope. If you are quoting on more than one bid, a separate envelope must be used for each bid.

DEFINITION

Minority Business: a business is defined as a minority business if (1) it is owned by a member of a minority race or (2) is a partnership of which a majority of interest is owned by one or more members of minority race or (3) is a public corporation in which a majority of the common stock is owned by one or more members of a minority race. A member of a minority race is defined as an individual who is a member of a race, which comprises less than 50 percent of the total population of the State of Georgia.

TERMS AND CONDITIONS

The offer conveyed by this bid shall remain open for a period of thirty (30) days from the date of opening.
Any cash discount offered to GEORGIA INSTITUTE OF TECHNOLOGY must be clearly shown in the space provided on the Request For Quote. Cash discounts offered from one (1) percent up to five (5) percent for payment in thirty (30) days or more would be considered for the purposes of evaluation. Any other cash discount will not be considered in the evaluation.
All cash discounts offered will be taken if earned. In the event that GEORGIA INSTITUTE OF TECHNOLOGY is entitled to a cash discount, the period of computation will commence on the date of delivery, or receipt of a correctly completed invoice indicating the discount, whichever occurs later. If the GEORGIA INSTITUTE OF TECHNOLOGY is entitled to a




discount under the contract, but the invoice does not reflect the existence of a cash discount, and GEORGIA INSTITUTE OF TECHNOLOGY pays the invoice, it shall be entitled, upon demand, to credit in the amount of such discount. Payment of invoices owed by GEORGIA INSTITUTE OF TECHNOLOGY shall be made whenever possible within 30 days of the receipt of a correct invoice or goods, whichever is later, unless otherwise provided for interims and conditions attached to this Request For Quote or in the resulting contract.
Unless otherwise specified in terms and conditions attached to this Request For Quote, prices quoted must be based upon payments within 30 days. Terms requiring payment in less that 30 days will be considered as non-responsive and the bid will not be considered for award.
Unless otherwise specified, the items in the Request For Quote have been identified, described and referenced by a brand name or trade name/mark that is intended to be descriptive, but not restrictive, and is used to indicate the quality and characteristics of products that may be offered. Other products may be considered for award if such products are early identified I the bid and are determined by GEORGIA INSTITUTE OF TECHNOLOGY to meet its needs in all aspects. It shall be the responsibility of the bidder(s), including the bidder whose product is referenced, to indicate to the brand name and model or series number of the product offered and to furnish with their bid such specifications, catalog pages, brochures, or other data that will provide an adequate basis for determining the quality and functional capabilities of product offered. GEORGIA INSTITUTE OF TECHNOLOGY reserves the right to request product demonstrations and/or samples from any bidders prior to bid award. Failure to provide the requested data or product demonstrations and/or samples may be considered valid justification for rejection of bid.
GEORGIA INSTITUTE OF TECHNOLOGY reserves the right to:
A.Award bids received on the basis of individual items or groups of items; and reject any or all bids or any part thereof; and waive any minor irregularity in the bid; and accept the bid that is in the best interest of GEORGIA INSTITUTE OF TECHNOLOGY.

B.Request a Performance Bond.

C.Request that bidder furnish proof that he/she is the manufacturer or one of the manufacturers authorized dealers or distributors and is capable of providing warranty services on all items delivered. When a manufacturers certificate or evidence of authorized distributorship is required, it shall be dated not more than thirty (30) days prior to the date of the bid opening.
Bidder makes this bid in accordance with the terms and conditions specified on this Request For Quote and in accordance with the terms and conditions of the Georgia Vendor Manual, which in incorporated herein by reference and made apart of this bid and any resulting contact with GEORGIA INSTITUTE OF TECHNOLOGY. In the event of conflict between the terms and conditions specified in this Request For Quote and those contained in the Georgia Vendor Manual, the former shall govern. Unless a specified exception is noted by the bidder and accepted by GEORGIA INSTITUTE OF TECHNOLOGY, all provisions of these terms and conditions and all of the contract terms contained in the Georgia Vendor manual will become a part of any contract or order awarded. All exceptions must be clearly noted in a separate section of Vendors bid entitled Exceptions.
By submission of this bid, the bidder offers and agrees, if this offer is accepted, to furnish and deliver and or all of the goods and services indicated herein, at the price set opposite each item.
Items on bid are exempt from federal excise tax and Georgia sale and uses tax.
Title shall pass to GEORGIA INSTITUTE OF TECHNOLOGY only upon actual receipt and acceptance of the items by the User Agency.




GEORGIA INSTITUTE OF TECHNOLOGY shall not be bound to any terms and conditions included in any Vendor packaging, invoice, catalog, brochure, technical data sheet, or other document which attempts to impose any condition in variance with or in addition to the terms and conditions contained herein.
In the event there is a discrepancy between the unit price and the extended price, the unit price shall govern.
Unless otherwise specified in terms and conditions attached to this Request For Quote, prepayment and/or progress payment requirements contained in bid responses will be treated as non-responsive and the bid will not be considered for award.
DRUG FREE WORKPLACE
A.If contractor is an individual, her or she hereby certifies that he or she will not engage in the unlawful manufacture, sale, distribution, dispensation, possession, or use of a controlled substance or marijuana during the performance of any contract resulting from this Request For Quote.

B.If Contractor in an entity other than an individual, it hereby certifies that:
1.A drug-free workplace will be provided for the Contractors employees during the performance of any contract resulting from this Request For Quote, and
2.It will secure from any subcontractor hired to work in a drug-free workplace the following written certification: As a part of the subcontracting agreement with (contractors name)________________________ (subcontractors name)________________________________ certifies to the contractor that a drug-free workplace will be provided for the subcontractors employees during the performance of this contract pursuant to paragraph 7 of subsection B of Code Section 50-24-3.

C.Contractor may be suspended, terminated, or debarred if it is determined that:
1.The Contractor has made false certification herein, above; or
2.The Contractor has violated such certification by failure to carry out the requirements of Official Code of Georgia Section 50-24-3.
Reciprocal Preference Law For the purpose of bid evaluation only, Vendors resident in the State of Georgia will be granted the same preference over Vendors resident in another State in the same manner, on the same basis, and to the same extent that preference is grated in awarding bids for the same goods and services by such other State to Vendors resident therein over Vendors resident in the State of Georgia. NOTE: for the purposes of this law, the definition of a resident vendor is one who maintains a place of business with at least one employee inside the State of Georgia. A post office box address will not satisfy this requirement.
NOTICE: It is the policy of the State of Georgia that minority business enterprises shall have the maximum opportunity to participate in the State purchasing process. All contracts established with an effective date of July 1, 2007 or after must include the Contractors written compliance with the Immigration Reform and Control Act of 1986 (IRCA), D.L. 99-603 and the Georgia Security and Immigration Compliance Act OCGA 13-10-90 et.seq.

When required, the apparent awarded vendor must complete and submit an Immigration and Security form prior to the award being finalized. A sample of the form is attached.
