Amendment 0001 hereby changes the requirement from an Indefinite Delivery Indefinite Quantity requirement to a Blanket Purchase Agreement. This Amendment 0001 also incorporates changes to the Performance Work Statement, Terms and Conditions, and includes Questions and Answers as Attachment 8. Response due date is hereby extended to 02 April 2019 at 1600 Eastern Time.
This is a Request for Quotation from the Department of Energy/Western Area Power Administration (WAPA) for programmatic legal services to support WAPAs Transmission Infrastructure Program (TIP) under Section 402 of the American Recovery and Reinvestment Act of 2009 (the Recovery Act). This procurement was previously synopsized under number 89503018QWA000006 and the RFQ number has been updated for FY19 to 89503019QWA000025.
WAPA and TIP has a requirement for specialized External Program Legal Counsel from a Contractor with a full spectrum of legal positions and experience -- from paralegals to senior partners -- to assist TIP by advising on the legal issues associated with operating TIP, and with the evaluation and preliminary development of proposed transmission infrastructure projects and related facilities. TIP is seeking contractors with past experience in working in western U.S. markets on relevant projects and expertise supporting both government and governmental entities. In addition to providing advice and opinions as to the matters listed above, the Contractor may also be called upon to support TIPs work on the evaluation and preliminary development of projects and related facilities. In this regard, the Contractor will assist TIP in the drafting of developmental transactional documents, including memoranda of understanding, term sheets, etc. The Contractor may also be called upon to perform legal due diligence on projects in the development phase. Under TIPs direction, the Contractor will also assist in the preparation for, and participation in b sometimes with short notice -- any meetings before DOE, DOJ, OMB, FERC, or with other Government agencies with or without other legal counsel/consultants. The Contractor may also be required to develop, draft and review -- on behalf of TIP -- all basic/pro forma templates and transaction-specific agreements/ documents for TIP, including but not limited to: transaction term sheets, transaction agreements, security documents, formation and governing documents, closing checklists, various certificates, opinions on behalf of TIP and/or other related transaction documentation.
This solicitation to acquire commercial services is being conducted using the provisions, clauses, and procedures prescribed in FAR Part 12 and Part 13, pursuant to the authority provided under FAR Subpart 13.5, Simplified Procedures for Certain Commercial Items. A written solicitation will not be issued. This is an unrestricted full and open solicitation open to all businesses regardless of size, in which the Government intends to award to the responsible contractor whose quote is determined to be the best value to the Government based upon technical approach, past performance, and price related factors. The resulting acquisition vehicle will be multiple Blanket Purchase Agreements with a one (1) year base period and up to four (4) option years. The anticipated ceiling amount is $350,000.00 over the potential maximum five (5) year ordering period. It is anticipated that orders against the BPA will be awarded on a Firm-Fixed-Price (FFP) basis. The solicitation, a detailed statement of work, and any other supporting information relating to this procurement will only be available in electronic format, located on the Federal Business Opportunities (FBO) website (www.fbo.gov).
The applicable North American Industry Classification System (NAICS) code for this acquisition is 541110, and the size standard is $11.0M.
In accordance with FAR 5.207, all responsible sources may submit a quotation, which shall be considered by the agency. It is highly recommended that, prior to submitting a quotation, interested parties obtain a Dun and Bradstreet (DUNS) number and register in the System for Award Management (SAM), www.sam.gov, as these requirements are mandatory for any firm selected for a contract award.
