This sources sought notice is issued for marketing and information gathering purposes. The General Services Administration (GSA) does not intend to award a contract based solely on this notice. This is not a Request for Proposal (RFP) and does not commit the GSA to solicit or award a contract now or in the future or otherwise pay for the information solicited. Respondents shall be responsible for all costs associated with the information submitted in response to this notice.

The multiple purpose of this notice is to 1) identify sources with expert legal services experience relevant to general commercial real estate leasing and experience in developing documents associated with the rehabilitation and leasing of a large commercial building; 2) obtain cost/pricing information that will allow the GSA to estimate its costs associated with the services sought and budget accordingly and 3) determine if socio-economic businesses are interested and/or capable in providing the requested services.


Such services will likely require the dedication of at least one responding attorney to be licensed in the State of Florida, be in Good Standing with the Florida State Bar, and be experienced and knowledgeable of laws, rules, and regulations relating to large commercial building leases, and take care to preserve GSA's interests including but not limited to taxes, insurance, environmental, etc... The attorney/firm must be proficient in the use of Microsoft Word and its Track Changes feature and have the capability of communicating via electronic means.


The services sought may include the drafting of a complex lease, the rigorous review and analysis and/or re-review of the lease, the drafting/review of letters, emails, and/or other ongoing communications associated with the lease, and/or participate, advise, and/or attend negotiations relating to the lease and maintain communications and status updates with at least one designated GSA Attorney, GSA Contracting Officer, and GSA Project Manager. The following add to the complexity of the lease: the building shares common systems (e.g., fire, chillers, cooling towers, security features, etc...) that must be separated at the lessee's expense, the lessee must take care to repair and/or renovate while maintaining compliance with National Historic Preservation Act of 1966, and must take precautions relating to asbestos and mold removal/handling.


In addition to drafting the Lease, follow-up work may include, but is not limited to, numerous Lease discussions and revisions with GSA project team; drafting of associated documents, may include answering questions raised by GSA and/or third-parties, may include written and/or oral presentation(s) to GSA officials either in-person (Florida, Washington DC, and/or Atlanta) or by virtual communications.


All large and small business concerns capable of providing the requested legal services are encouraged to respond to this notice. This includes Large Business, Small Business, Veteran-Owned, Service-Disabled Veteran Owned, HUB Zone, Woman-Owned, Economically Disadvantaged Women-Owned, Small Disadvantaged Business, and Section 8(a) small business concerns.


THERE IS NO SOLICITATION AVAILABLE AT THIS TIME. REQUEST FOR A SOLICITATION WILL NOT RECEIVE A RESPONSE. This Sources Sought Synopsis is in support of Market Research being conducted by the General Services Administration to identify potential legal sources, estimated costs/price, and if this effort can be competitive or a Small Business Set-Aside.


The proposed North American Industry Classification Systems (NAICS) Code is 541110 that have a corresponding Size Standard of $11 million. The Government will use this information to determine the best acquisition strategy for this procurement. The government requests that interested parties respond to this notice if applicable and identify your small business status to the identified NAICS code.


If interested, you are requested to submit a Letter of Interest that responds to the following:


1.    Are you a large business or other (please specify and provide your DUNS #);
2.    Are you capable of providing the requested services and if so, please provide a brief description addressing the concerns/issues stated above;
3.    How would you bill/price this job? By the completed, finished delivered product or by the hour? Please provide the type of labor hours used in providing this information, e.g., attorney @ $95.00/hr., clerical @ $10.00/hr.
4.    Supplemental information is not necessary but all submitted material will be reviewed, e.g., brochures, website information, other.


Please do not submit hard copy responses. Only Electronic responses will be accepted. Telephone inquiries will not be accepted or acknowledged, and no feedback or evaluations will be provided to companies regarding their submissions. However, GSA may contact sources to gather additional information as required.

Submission Instructions: Interested parties who consider themselves qualified to perform the above-listed services are invited to submit a response to this Sources Sought Notice by 4:00 PM (Eastern), Thursday, December 4, 2014.
